These Terms of Service ("Terms") constitute a legally binding agreement between you and SBSS (Small Business Support Services) ("we," "us," "our," or "Company"). By accessing, registering for, or using our website, web application, mobile application, and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms in their entirety, you may not use the Service. Your continued use of the Service signifies your acceptance of these Terms. We reserve the right to modify these Terms at any time with 30 days' notice to you.
2. Service Description
SBSS provides an AI-powered back-office automation platform designed to help small businesses streamline their accounting, bookkeeping, vendor management, and administrative operations. The Service includes:
- Email intelligence and analysis through AI agents
- Bill and invoice processing and extraction
- Vendor relationship management
- Integration with QuickBooks Online for financial management
- Bank connection via Plaid for cash flow analysis
- Expense tracking and reporting
- Automated workflow management
The Service operates on a subscription model with different pricing tiers based on the AI agents and features you subscribe to. Specific features and pricing are outlined in your subscription agreement.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Have the authority to enter into this agreement on behalf of your business
- Operate a legitimate business (sole proprietor, partnership, LLC, corporation, etc.)
- Not be prohibited from using the Service under applicable laws
- Not have violated these Terms or been previously banned from the Service
If you are using the Service on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms. The entity will be responsible for your use of the Service.
4. Account Registration & Security
Account Creation
To access the Service, you must create an account through Google OAuth. By registering, you agree to:
- Provide accurate, complete, and truthful information
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Be responsible for all activities under your account
Account Responsibilities
You are responsible for maintaining the security of your account login credentials and for all activities that occur under your account. We are not liable for any loss or damage resulting from unauthorized access to your account. You agree to notify us immediately if you suspect unauthorized access or use of your account.
Sub-User Access
You may invite employees or contractors ("Sub-Users") to access your account with role-based permissions (Owner, Manager, Editor, Viewer). You are responsible for managing Sub-User access and removing access when appropriate. Violations by Sub-Users are your responsibility.
5. Subscriptions & Billing
Subscription Plans
The Service is offered on a subscription basis. We offer different AI agents and features at various pricing tiers ranging from $5 to $95 per month per agent, depending on the selected agent and tier. Premium agents have additional capabilities and corresponding higher pricing.
Billing Cycle
- Subscriptions are billed monthly or annually based on your selected plan
- Billing occurs on the first day of each billing cycle
- We will charge your payment method on file each billing period
- Failure to pay may result in service suspension
Payment Method
- You authorize us to charge the payment method you provide
- You are responsible for keeping your payment information current and accurate
- If payment fails, we will attempt to charge again or suspend your account
Refunds
All subscription fees are non-refundable except where required by law. If you cancel your subscription mid-cycle, you will not receive a refund for the unused portion of your current billing period. Upon account termination, you will have 30 days to export your data before it is deleted.
Price Changes
We may change our pricing with 30 days' notice to you via email. If you disagree with a price increase, you may cancel your subscription before the new price takes effect.
Free Trial
If we offer a free trial, the trial is limited to the specified trial period. After the trial ends, you will be charged at the current subscription rate unless you cancel before the trial period expires. We may require a valid payment method to start a free trial.
6. Acceptable Use Policy
You agree not to use the Service for any unlawful or prohibited purpose. Specifically, you agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Upload, store, or transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service or its systems
- Reverse engineer, decompile, or attempt to derive the source code of the Service
- Disrupt or interfere with the normal operation of the Service
- Engage in scraping, crawling, or automated data collection (except through authorized APIs)
- Use the Service to spam, harass, or threaten other users
- Upload content that is defamatory, obscene, or violates intellectual property rights
- Resell or redistribute the Service without authorization
- Use the Service for any fraudulent or deceptive purpose
- Integrate the Service with competing products without authorization
We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account.
7. User Content & Data Ownership
Your Data
- You retain full ownership of all business data you upload or provide to the Service (emails, financial records, documents, etc.)
- We have the right to use your data only to provide the Service and improve our AI models and features
- We do not sell your business data to third parties
AI Training
To improve our AI agents, we may use anonymized and aggregated data from your account. We will never train on your sensitive business data (customer names, financial amounts, vendor details) without explicit consent. We may request permission to use specific data subsets for AI improvement purposes.
Data Access by Third Parties
You authorize us to access your Gmail, QuickBooks Online, and bank accounts (via Plaid) through secure API connections. Gmail access is optional and can be connected or disconnected at any time through your account settings. We use these integrations only to provide the Service. Third-party service providers (Google, Intuit, Plaid) are bound by their own privacy policies and terms of service.
Content Restrictions
You agree not to upload, store, or transmit:
- Illegal content or evidence of illegal activity
- Content that violates third-party intellectual property rights
- Malware, viruses, or malicious code
- Defamatory, threatening, or harassing content
8. Intellectual Property Rights
SBSS IP
The SBSS platform, including all software, designs, text, graphics, logos, and technology, is the exclusive property of SBSS and is protected by copyright, trademark, and patent laws. We grant you a limited, non-exclusive, revocable license to use the Service for your internal business purposes only.
Restrictions
You may not:
- Copy, modify, or distribute the Service or its components
- Reverse engineer or attempt to derive the source code
- Rent, lease, or resell the Service
- Use the Service to build competing products
- Remove or alter any intellectual property notices
Your Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without compensation or attribution to improve our platform.
9. Service Availability & Uptime
Best-Effort Uptime
We strive to maintain high availability and uptime for the Service. However, we cannot guarantee 100% uptime or uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (we will provide notice when possible)
- Emergency maintenance for security or operational issues
- Third-party service outages (Google, Amazon Web Services, Plaid, etc.)
- Network failures or internet disruptions
- Unforeseen circumstances beyond our control
Maintenance Windows
We may perform maintenance that temporarily disrupts the Service. We will attempt to schedule maintenance during low-usage periods and will provide advance notice when possible. Emergency maintenance may be performed without notice.
Data Backup
We maintain regular backups of your data, but we are not responsible for data loss. You are responsible for maintaining your own backups of critical business data.
10. Modifications to the Service
We reserve the right to modify, update, or discontinue the Service or any feature at any time with 30 days' notice to you. We will not be liable for any changes to the Service or discontinuation of features, except where prohibited by law.
If we discontinue a feature you are paying for, we will provide a pro-rata refund or credit for the remainder of your billing cycle.
11. Termination & Data Export
Termination by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. You will not receive a refund for the unused portion of your current cycle.
Termination by Us
We may terminate or suspend your account if you:
- Violate these Terms
- Engage in prohibited activities or illegal conduct
- Fail to pay subscription fees for 30 days
- Repeatedly violate our Acceptable Use Policy
We will provide notice of termination unless immediate action is necessary for security or legal reasons.
Data Export & Retention
Upon account cancellation or termination, you have 30 days to export your data through your account portal. After 30 days, your data will be permanently deleted from our systems. We will not provide refunds for data loss after the 30-day period.
Surviving Provisions
The following sections survive termination: Intellectual Property Rights, Limitation of Liability, Disclaimers, Dispute Resolution, and Governing Law.
12. Limitation of Liability
Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SBSS'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. THIS CAP APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, ETC.).
Excluded Damages
IN NO EVENT SHALL SBSS BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Loss of goodwill or reputation
- Damages arising from your use or inability to use the Service
- Unauthorized access to your account or data breaches caused by your negligence
Essential Terms
This limitation applies even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitations on liability, so this limitation may not apply to you.
13. Disclaimers
Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI Accuracy
While we strive to provide accurate AI-powered analysis and bill processing, the AI agents are not perfect. You should always review and verify AI-generated results, especially for critical financial decisions. We do not guarantee the accuracy, completeness, or usefulness of AI-generated content.
Third-Party Services
The Service integrates with third-party services (Google, QuickBooks Online, Plaid, OpenAI). We are not responsible for:
- Third-party service outages or failures
- Data loss due to third-party errors
- Changes to third-party services or APIs
- Third-party terms of service violations
14. Dispute Resolution
Informal Resolution
If you have a dispute with SBSS, we strongly encourage you to contact us first at support@smallbusinessessupport.services to attempt to resolve the issue informally.
Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. All disputes arising from these Terms are subject to US law.
Jurisdiction
You agree to submit to the exclusive jurisdiction of the federal and state courts located in the jurisdiction where SBSS is incorporated, without objection to the venue or inconvenience of the forum.
Arbitration (Optional)
For disputes that cannot be resolved informally, either party may elect binding arbitration instead of court proceedings. Arbitration will be conducted under the rules of the American Arbitration Association (AAA). The arbitrator's decision is final and binding.

Final Provisions
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and SBSS regarding the Service. All prior agreements, understandings, and negotiations are superseded by these Terms.
Amendments
We may modify these Terms with 30 days' written notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. Material changes that negatively impact your rights may require explicit acceptance.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment
You may not assign these Terms or your rights under these Terms without our prior written consent. We may assign these Terms to our successors or in connection with a merger or acquisition.
